Terms of Service

This page serves as a default and reference terms of service. If you signed a separate Cover Page to access the Product with the same account, and that agreement has not ended, the terms below do not apply to you. Instead, your separate Cover Page applies to your use of the Product.
This Agreement is between Ardent AI Labs, Inc. (dba Ardent) and the company or person accessing or using the Product. This Agreement consists of: (1) the Order Form below and (2) the Framework Terms defined below.
If you are accessing or using the Product on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company. By signing up, accessing, or using the Product, Customer indicates its acceptance of this Agreement and agrees to be bound by the terms and conditions of this Agreement.
Cover Page
Framework Terms: This Order Form incorporates and is governed by the Framework Terms that are made up of the Key Terms below and the Cloud Service Agreement below. Any modifications to the Standard Terms made in the Cover Page will control over conflicts with the Standard Terms. Capitalized words have the meanings given in the Cover Page or the Standard Terms.
Cloud Service: An AI-powered data engineering platform that builds, manages, and optimizes data pipelines (e.g., Airflow DAGs, Databricks jobs, SQL transformations), performs debugging, and maintains a knowledge graph across schemas, lineage, and logs. The Product enables teams to automate, test, and scale workflows, with deployment options hosted by Ardent or behind Customer’s VPC.
Order Date: The Effective Date
Subscription Period: 1 month(s)
Cloud Service Fees: Certain parts of the Product have different pricing plans, which are available at https://www.tryardent.com/pricing. Customer will pay Ardent the applicable Fees based on the Product tier and Customer’s usage. Ardent may update Product pricing by giving at least 30 days’ notice to Customer (including by email or notification within the Product), and the change will apply in the next Subscription Period.
Payment Process: Automatic payment: Customer authorizes Ardent to bill and charge Customer's payment method on file monthly for immediate payment or deduction without further approval.
Non-Renewal Notice Period: At least 30 days before the end of the current Subscription Period.
Key Terms
Customer: The company or person who accesses or uses the Product. If the person accepting this Agreement is doing so on behalf of a company, all use of the word "Customer" in the Agreement will mean that company.
Provider: Ardent AI Labs, Inc. (dba Ardent)
Effective Date: The date Customer first accepts this Agreement.
Governing Law: The laws of the State of Delaware
Chosen Courts: The state or federal courts located in Delaware
Covered Claims:
Provider Covered Claims: Any action, proceeding, or claim that the Cloud Service, when used by Customer according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else's intellectual property or other proprietary rights.
Customer Covered Claims: Any action, proceeding, or claim that (1) the Customer Content, when used according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else's intellectual property or other proprietary rights; or (2) results from Customer's breach or alleged breach of Section 2.1 (Restrictions on Customer).
General Cap Amount: The fees paid or payable by Customer to Provider in the 12-month period immediately before the claim.
Notice Address: For Provider: support@tryardent.com. For Customer: The main email address on Customer's account.
Attachments and Supplements
Security Policy: Ardent will use commercially reasonable efforts to secure the Cloud Service from unauthorized access, alteration, or use and other unlawful tampering.

Cloud Service Agreement
Service
During the Subscription Period and subject to this Agreement, Customer may access and use the Cloud Service, and use included Software and Documentation as needed to access and use the Cloud Service, in each case for its internal business purposes.
Support
During the Subscription Period, Ardent will provide technical support as described in the applicable plan.
User Accounts
Customer is responsible for all actions on Users' accounts and for all Users’ compliance with this Agreement. Customer and Users must protect the confidentiality of their passwords and login credentials and promptly notify Ardent of any fraudulent activity or compromise.
Feedback and Usage Data
Customer may provide Feedback to Ardent, which Ardent may use freely. Ardent may collect and analyze Usage Data to maintain, improve, and promote its products and services, but will only disclose Usage Data in aggregated, non-identifiable form.
Customer Content
Ardent may copy, display, modify, and use Customer Content only as needed to provide and maintain the Product. Customer retains ownership and responsibility for all Customer Content.
Machine Learning
Customer Content and Usage Data will not be used to train or develop Ardent’s or third-party AI/ML models without Customer’s explicit written permission.
Restrictions and Obligations
Customer will not reverse engineer, decompile, or attempt to discover source code. Customer will not provide, sell, sublicense, or otherwise make the Product available to third parties. Customer will not copy, modify, or create derivative works of the Product. Customer will not conduct unauthorized security testing or circumvent access restrictions. Customer will not use the Product for High Risk Activities or in violation of law. Customer will not upload or submit data that includes PHI, PCI data, biometric identifiers, or data of children under 13, unless expressly authorized in writing by Ardent.
Suspension
Ardent may suspend access if Customer fails to pay undisputed fees, breaches the restrictions above, or uses the Product in a way that materially impacts the service or others.
Privacy and Security
Personal Data will be handled according to Ardent’s Privacy Policy and, if applicable, a Data Processing Agreement.
Payment and Taxes
Fees are non-refundable except as expressly stated. Customer is responsible for all applicable taxes except Ardent’s income taxes. Invoices or automatic billing will follow the Payment Process above.
Term and Termination
Each Order Form renews automatically unless a non-renewal notice is given. Either party may terminate for uncured material breach with 30 days’ notice. Upon termination: Customer loses access; Ardent will delete Customer Content within 60 days of request; outstanding fees remain due.
Representations and Warranties
Each party represents it has authority to enter into this Agreement and will comply with applicable laws. Ardent provides the Product “AS IS” and disclaims all other warranties.
Limitation of Liability
Except for Covered Claims and indemnities, each party’s liability is capped at the General Cap Amount. Neither party is liable for indirect or consequential damages.
Indemnification
Ardent will indemnify for Provider Covered Claims. Customer will indemnify for Customer Covered Claims. Indemnification requires prompt notice, cooperation, and control of defense.
Confidentiality
Each party will keep the other’s Confidential Information secret, using protections no less than a reasonable standard of care.
Reservation of Rights
Except as expressly granted, Ardent retains all rights in the Product; Customer retains rights in its Content.
Logo Rights
Ardent may identify Customer and use Customer’s name and logo in marketing materials, websites, and presentations to identify Customer as a user of the Product, unless Customer notifies Ardent in writing that it does not consent.
General Terms
This Agreement is the full agreement between the parties. Ardent may update these Terms by posting an updated version. Continued use constitutes acceptance. Delaware law applies, with Delaware courts as the venue. Customer may not assign without Ardent’s consent. Ardent may assign in connection with a merger or sale. Neither party is liable for delays outside its reasonable control. The parties are independent contractors. There are no third-party beneficiaries.
