By accessing or using the ArdentAI, Inc. ("Ardent," "we," "us," or "our") website and platform, you agree to these Terms and Conditions. Please read them carefully before using our services.
1. Acceptance of Terms
1.1 These Terms apply to all visitors, users, and customers of the Ardent platform, including our website, CLI tools, APIs, and related services. 1.2 By accessing or using Ardent, you agree to be bound by these Terms, along with our Privacy Policy. 1.3 If you do not agree to these Terms, you may not access or use the platform.
2. Use of the Platform
2.1 Ardent provides database branching infrastructure that enables developers and AI agents to safely create, test, and execute operations against isolated copies of production databases. 2.2 You agree to use the platform only for lawful purposes and in compliance with these Terms. 2.3 You are responsible for maintaining the confidentiality of your account credentials, API keys, and database connection details, and for all activities carried out under your account. 2.4 You are responsible for ensuring you have the necessary rights and permissions to connect your databases to Ardent and to replicate the data you select.
3. Accounts and Subscriptions
3.1 Certain features of Ardent may require creating an account or subscribing to a paid plan. 3.2 You agree to provide accurate and complete information during registration. 3.3 Subscription fees, if applicable, are billed according to the selected plan and are non-refundable unless explicitly stated otherwise. 3.4 Usage-based charges, including compute hours and storage, are billed in addition to any base subscription fees according to your plan and current published rates.
4. Customer Data and Databases
4.1 You retain all ownership rights to the data you connect to or replicate through the Ardent platform. Ardent does not claim any ownership of your database content. 4.2 You grant Ardent a limited, non-exclusive license to access, replicate, and store the database content you select solely to provide the branching service. 4.3 You represent that you have all necessary rights, consents, and authorizations to provide your database content to Ardent and to permit its use as described in these Terms and our Privacy Policy. 4.4 Ardent is not responsible for the accuracy, legality, or appropriateness of any data you connect to the platform.
5. Intellectual Property
5.1 All content, software, designs, graphics, and materials available on the Ardent platform are the intellectual property of ArdentAI, Inc. or its licensors. 5.2 You may not copy, modify, distribute, sell, or reverse engineer any part of the platform or its content without prior written permission.
6. Payment and Billing
6.1 Payments are processed securely through trusted third-party payment providers. 6.2 By subscribing, you authorize Ardent to charge your selected payment method for applicable fees, including usage-based charges and automatic renewals, unless canceled before the next billing cycle. 6.3 Ardent reserves the right to modify pricing with reasonable advance notice. Continued use of the platform after a pricing change constitutes acceptance of the new rates.
7. Service Availability and Disclaimers
7.1 Ardent is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation. 7.2 While Ardent is designed to provide safe, isolated database environments, we do not guarantee that the platform will prevent all data loss, corruption, or unintended modifications to your source databases. You are responsible for maintaining independent backups of your data. 7.3 Ardent relies on third-party infrastructure providers for compute, storage, and database branch provisioning. We are not liable for outages, data loss, or service disruptions caused by these third-party providers.
8. Limitation of Liability
8.1 To the maximum extent permitted by law, Ardent shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of, or inability to use, the platform, including but not limited to loss of data, loss of revenue, or interruption of business. 8.2 Ardent's total liability under these Terms shall not exceed the amount you paid to Ardent in the twelve (12) months preceding the event giving rise to the claim.
9. Termination
9.1 We reserve the right to suspend or terminate access to Ardent if these Terms are violated or if the platform is misused. 9.2 You may stop using Ardent at any time by canceling your subscription or deleting your account. 9.3 Upon termination, all database branches and replicated data associated with your account will be permanently deleted within a reasonable period.
10. Changes to These Terms
10.1 We may update these Terms from time to time to reflect service changes or legal requirements. 10.2 Any updates will be published on this page with a revised effective date. Continued use of the platform constitutes acceptance of the updated Terms.
